ELIGIBILITY: 

The Spanx, Inc. Spanx Speaker Series Sweepstakes (“Sweepstakes”) is open only to current legal residents of the 50 United States and the District of Columbia who are 21 years of age or older as of the date of entry.  Void where prohibited by law.  Employees of Spanx, Inc. (“Sponsor”), its dealers, prize sponsors, and their respective parents, affiliated and subsidiary companies, and advertising and promotional agencies, as well as the immediate family (spouse, mother, father, sister, brother, daughter, or son, regardless of where they live) of such employees or members of their households (whether related or not) are not eligible. By entering this Sweepstakes, entrants accept and agree to be bound by these Official Rules and the decisions of Sponsor, which will be final, binding, and conclusive in all respects.

PROMOTIONAL PERIOD:

The Sweepstakes will begin at 7:00 PM ET on January 10, 2020 and end at 12:00 PM ET on January 13, 2020 (the “Promotional Period”). Entries received after the Promotional Period will be disqualified.

No purchase necessary to enter or win. A purchase will not improve your chances of winning. Opting out of receiving Sponsor’s marketing-related emails will not affect your chances of winning.

Proof of entry submission does not equate to proof of receipt. LIMIT ONE ENTRY PER PERSON, HOUSEHOLD, STREET ADDRESS, OR E-MAIL ADDRESS. Multiple entries will be disqualified. In the event of a dispute as to entries submitted by multiple users having the same email account, the authorized subscriber of the email account used to enter the Sweepstakes at the actual time of entry will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is deemed to be the natural person who is assigned an e-mail address by the relevant Internet service provider, online access provider, or other organization that is responsible for assigning email addresses or the domain name associated with the submitted email address.

Sponsor is not responsible for incomplete, lost, late, misdirected, stolen, mutilated, incorrectly entered, illegible, or incomplete entries, or for any transmission defaults, human or computer failure, or technical malfunctions and/or delayed, garbled, or corrupted data entries. Sponsor is not responsible for printing or typographical errors in any Sweepstakes-related materials. All entries become the exclusive property of Sponsor and will not be acknowledged or returned.

PRIZES & ODDS OF WINNING:

Two prize winners will each receive a trip for the winner and one guest to Atlanta, Georgia to attend a speaking engagement (the “Event”) at Sponsor’s headquarters featuring Ms. Olivia Newton-John (the “Speaker”) on a day to be selected by Sponsor between January 15, 2020 and January 17, 2020 and announced to each winner following his/her selection, including:

• Two economy round-trip airfare tickets to Atlanta, Georgia (approximate retail value: $1,499);

• hotel accommodations (one standard room) for winner and one guest for one night (approximate retail value: $500);

• a $200 Uber credit (approximate retail value: $200); and

• <p">a $300 American Express gift card (approximate retail value: $300).

   

Actual values of trips may vary depending upon each winner’s place of permanent residence. All other expenses not specified herein are the responsibility of the winners. All federal, state, local and any other applicable taxes are the sole responsibility of the winners.

Approximate retail value of the prizes is:  $4,998 (2 winners and 2 guests).

All costs, including transportation to and from the Atlanta airport, and federal, state and local taxes, meals, alcoholic beverages, excursions, processing fees, tips, insurance, and other expenses not specifically identified as included in a prize, are the sole responsibility of the winners and their travel companions. Flight and hotel arrangements to be determined by Sponsor. Accommodation restrictions may apply. Ground transportation and meals are the responsibility of and shall be arranged by the winners. Travel must occur between the day prior to the Event and the day following the Event. Each winner and his/her travel companion must agree to travel on the same itinerary (on the same dates and from the same city) and at the same time. All travel dates and arrangements are subject to change and availability, and the exact date of the Event will be communicated by Sponsor to each winner promptly following each winner’s selection. Each winner and his/her travel companion are solely responsible for determining and obtaining all such necessary travel documents and other travel requirements. Sponsor is not liable for any expenses incurred as a consequence of flight cancellation/delay.

No assignment, transfer, or substitution of prizes is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if the Speaker is unavailable or the Event is cancelled for any other reason. Odds of winning any prize depend on the number of eligible entries received during the Promotional Period.

Please note that the prize does not include, and Sponsor does not guarantee, any personal interaction between the winners and their travel companions, the Speaker, or Sara Blakely.

WINNER SELECTION:

Winners will be selected by random drawing from all eligible entries received, which drawing will be held on or about January 13, 2020. The selected winners will be notified via email within one business day of the drawing. In order to receive the prize, each selected winner will be required to provide the Affidavit and Release described below within two hours of Sponsor’s transmission of the email notice to the potential winner. Each potential winner is subject to verification of eligibility and compliance with these Official Rules before receiving any prize. Following verification of the winners, the winners will be announced on www.instagram.com/SPANX.

GENERAL CONDITIONS: 

The Sweepstakes is governed by, and these rules will be construed and interpreted pursuant to, the laws of the United States.  Each winner will be required to execute and return an Affidavit of Eligibility and Release, and, where lawful, a Publicity Release, which may require the winner’s social security number for tax reporting purposes, within two hours of notification. Where lawful, each winner’s travel companion, if applicable, will be required to execute and return a Publicity Release prior to the Event.  If a winner’s travel companion is not of the legal age of majority in his/her state of residence, a parent or legal guardian must execute all documents and fulfill all requirements imposed on the companion’s behalf. At Sponsor’s sole discretion, a selected winner may be disqualified and, in such case, an alternate winner will be selected from among the remaining eligible entries if (i) the winner fails to meet the eligibility requirements; (ii) the winner cannot be reached because the prize notification is returned as non-deliverable; (iii) the winner (or, if applicable, travel companion) fails to return documents timely; or (iv) the winner and his/her travel companion are unable to travel on the same itinerary (on the same dates and from the same city) and at the same time.

Where permitted by law, by accepting the prize, each winner (and his/her travel companion, if applicable) grants to Sponsor, and its licensees, affiliates, and assigns, the right to print, publish, broadcast, and use, worldwide in any media now known or hereafter developed, including but not limited to the World Wide Web, at any time or times, his or her name, portrait, picture, voice, likeness, and biographical information as news or information and for advertising and promotional purposes without additional consideration.

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in a nonsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person.  Any use of robotic, automatic, programmed, or like entry methods will void all such entries by such methods.

CAUTION:  ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DAMAGE DELIBERATELY ANY WEB SITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

RELEASE OF LIABILITY: 

By accepting the prize, each winner (and his/her travel companion, if applicable) agrees, and by entering the Sweepstakes, each entrant (and his/her travel companion, if applicable) agrees, to release and hold harmless Sponsor, its dealers, prize sponsors, Facebook, Inc., and their respective parents, affiliated and subsidiary companies, advertising and promotional agencies, and their respective officers, directors, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind to person (including death) and property, arising in whole or in part, directly or indirectly, from acceptance, use, possession, or misuse of any prize, participation in any Sweepstakes-related activity, or participation in this Sweepstakes.

LIMITATIONS OF LIABILITY:

By entering the Sweepstakes, entrants and the travel companions chosen by the winners to take the trips will be sharing their personal information with Sponsor.  By entering, entrants and such companions agree to Sponsor’s use of their personal information as described in Sponsor’s Privacy Policy at www.spanx.com.

GOVERNING LAW; JURISDICTION; VENUE:

These Official Rules shall be interpreted in accordance with Georgia law without regard to its conflicts of laws provisions. Entrants agree that the state and federal courts located in Georgia shall have exclusive jurisdiction over any dispute arising from or relating to these Official Rules, this Sweepstakes or entrants’ participation in this Sweepstakes, and entrants consent to the personal jurisdiction and venue thereof.

SEVERABILITY:

If any one or more provisions of these Official Rules are held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity, effect, or enforcement of any other provision or provisions of these Official Rules.
